Many privately held D&O clients have multiple companies whose ownership is common (sister companies rather than one parent and several subsidiaries).
A policy typically covers an identified company and its subsidiaries, defined as any entity in which the insured organization has a 50 percent ownership interest, or the right to appoint the subsidiary’s board or management. This would not include common ownership companies.
Those sister companies would need to be scheduled by endorsement in order to ensure coverage. Too often the commonly controlled group of sister companies is not properly listed on the policy, causing claims denials. Another alternative is to explore a separate policy for these common ownership sister companies.
